IMPORTANT – READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Inxtinct Ltd. ("Company," "we," "us," or "our") governing your use of our email security extension, cyber awareness training platform, including any associated media, printed materials, and electronic documentation (collectively referred to as the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. LICENSE GRANT
Subject to the terms of this EULA, Inxtinct Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes.
2. RESTRICTIONS
You agree not to:
- Reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law.
- Modify, adapt, or create derivative works based on the Software.
- Rent, lease, lend, sell, redistribute, or sublicense the Software.
- Use the Software for any unlawful or unauthorized purposes.
- Remove, alter, or obscure any proprietary notices on the Software.
3. OWNERSHIP
The Software is licensed, not sold. Inxtinct Ltd. retains all right, title, and interest, including all intellectual property rights, in and to the Software. This EULA does not grant you any rights to trademarks or service marks of Inxtinct Ltd.
4. UPDATES AND MAINTENANCE
Inxtinct Ltd. may provide updates, upgrades, or maintenance releases to the Software at its sole discretion. These updates may be provided automatically or made available for download. This EULA applies to any updates, upgrades, or maintenance releases of the Software provided by Inxtinct Ltd., unless such updates are accompanied by a separate license agreement.
5. PRIVACY AND DATA COLLECTION
By using the Software, you acknowledge and agree that Inxtinct Ltd. may collect, use, and disclose certain information about you and your use of the Software in accordance with our Privacy Policy. You consent to such collection, use, and disclosure of your information as described in the Privacy Policy.
6. TERMINATION
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Inxtinct Ltd. if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.
7. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. INXTINCT LTD. DISCLAIMS ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INXTINCT LTD. BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INXTINCT LTD. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Inxtinct Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Software or violation of this EULA.
10. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in England and Wales.
11. MISCELLANEOUS
Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: This EULA constitutes the entire agreement between you and Inxtinct Ltd. concerning the Software and supersedes all prior or contemporaneous oral or written agreements.
Waiver: The failure of either party to enforce any right or provision of this EULA will not be deemed a waiver of such right or provision.
